Terms of sale and use

The agreement between you and BusyMoss when you create an account, use the free trial or buy a licence. Written to be read, not skimmed past.

Last updated [DATE]

1. Who we are

BusyMoss is run by [FULL LEGAL NAME OR COMPANY NAME] [trading as BusyMoss / company number 00000000], of [REGISTERED OR POSTAL ADDRESS] ("we", "us"). You can reach us at support@busymoss.com or through our contact page.

"You" means the person or business that creates the account or buys the licence. If you accept these terms for a business, you confirm you're allowed to.

Some parts apply differently depending on whether you're a consumer (buying for yourself, not mainly for a trade or business) or a business customer. Most people buying BusyMoss are business customers. Where the difference matters, we say so.

2. Your account

Everyone who uses BusyMoss signs in with a BusyMoss account. The account holds your free trial, your licence and the list of devices you use. It does not hold your business records (see section 7).

  • Give us a real email address and keep it up to date: licence keys, sign-in codes and important notices are sent there.
  • Keep your password private. We recommend turning on two-step sign-in with an authenticator app.
  • You're responsible for what happens under your account and for the people you invite to your business. Tell us straight away if you think someone else has got in.

3. The free trial

Each new account gets a free 7-day trial with every feature included. No card is needed. One trial per person or business: we may refuse a trial that's clearly a repeat.

If you don't buy a licence by the end of the trial, BusyMoss becomes read-only. Nothing is deleted: you can still view, export and back up your records, and buying a licence unlocks it as it was.

4. Founder licences

A licence is a one-off payment, not a subscription. It doesn't expire. It gives you the right to use BusyMoss for your business on the terms below; it doesn't transfer ownership of the software to you.

LicencePriceCovers
Founder£67.99 onceUp to 5 users and 5 devices
Founder Team£99.99 onceUp to 12 users and 12 devices
  • Devices are any mix of computers, phones and tablets, for example 3 computers and 2 phones on Founder. You can move a licence off a device you no longer use from Settings.
  • Your own server: if you run BusyMoss on your own server, one licence key works with one server. We can move it to a new server if you ask.
  • BusyMoss cloud (where we host your records) isn't included in a Founder licence. When it opens, it will be a separate monthly plan with its own terms.
  • Founder prices are an introductory offer and may end or change at any time. A change never affects a licence you've already bought.

5. Paying

Prices on our website include VAT where it applies. You pay by card or PayPal through PayPal's checkout; we never see your full card details. Your licence key, setup steps and downloads are emailed to you once PayPal confirms the payment.

The contract between us is made when we email your licence key. If something goes wrong with a payment and we can't issue a key, we'll refund you in full.

If you take card payments from your own customers through BusyMoss, that happens through your own Stripe account, under your agreement with Stripe. We aren't a party to those payments and don't hold your customers' money.

6. Cancelling and refunds

14-day refund. You can cancel a licence purchase within 14 days of buying it, for any reason, and we'll refund the full price. Email support@busymoss.com or use the contact form with the email you bought with. We refund to the original payment method within 14 days of your request.

When a licence is refunded it's switched off on every device. Your records stay where they are, and BusyMoss goes back to read-only (or to the rest of your trial).

After 14 days, refunds are at our discretion, but this never affects your legal rights if BusyMoss is faulty (see section 11).

7. Your records

BusyMoss is built so your business records (customers, jobs, receipts, expenses, payroll and photos) stay on your device, in a file in your own cloud storage, or on your own server, depending on how you choose to run it. They aren't sent to us, and we can't see, change or recover them.

Back up regularly. Because we don't hold your records, if a device is lost, broken or its browser data is cleared, we can't get them back. BusyMoss makes a backup file in one click; keep a recent copy somewhere safe.

Your records belong to you. You're responsible for them, including for handling your own customers' and employees' personal data lawfully. Our privacy policy explains what we do hold.

8. Tax, VAT and payroll

BusyMoss works out figures from what you enter: VAT returns, Making Tax Digital quarterly figures, profit and loss, the balance sheet and payroll. It's a tool, not an accountant or tax adviser.

  • BusyMoss doesn't submit anything to HMRC for you. You, or your accountant, check the figures and submit them.
  • BusyMoss isn't HMRC-recognised payroll software. You still send payroll reports to HMRC with recognised software, such as HMRC's free Basic PAYE Tools.
  • Figures are only as accurate as what's entered. Check them before you rely on them, and take professional advice where you need it.

9. Using BusyMoss fairly

You agree not to:

  • share, sell or publish a licence key, or use one beyond its users and devices;
  • get around the trial, licence or device checks;
  • copy, modify or reverse-engineer BusyMoss, except where the law allows it;
  • use BusyMoss for anything unlawful, including sending messages your customers haven't agreed to receive;
  • try to break into, overload or disrupt our systems or other people's accounts.

If you do, we may suspend or revoke your account or licence. Where it's reasonable we'll warn you first and give you the chance to put it right.

10. Updates and availability

We keep improving BusyMoss and Founder licences receive the updates we release for them. [CONFIRM: how long updates are promised for, e.g. "at least 3 years from purchase"] We may change or remove features over time, but we won't take away the core of what you paid for: bookings, invoices and receipts, VAT figures, expenses and payroll.

BusyMoss keeps working offline once it's set up. Signing in, starting a trial, buying and adding devices need our servers, which we aim to keep running at all times but can't promise will never be unavailable, for example during maintenance.

[CONFIRM: what happens if BusyMoss ever closes, e.g. "we'll give at least 90 days' notice and a final update that runs without our servers".]

11. Our responsibility to you

If you're a consumer

You have legal rights under the Consumer Rights Act 2015: BusyMoss must be as described, fit for purpose and of satisfactory quality. If it isn't, we'll fix it or, if we can't, give you some or all of your money back. If faulty digital content we supply damages your device or other digital content, we'll repair it or compensate you. Nothing in these terms affects those rights. We're responsible for loss you suffer that was foreseeable when you bought, but not for business losses, because BusyMoss is sold for business use.

If you're a business customer

We provide BusyMoss with reasonable care and skill. Beyond that, and as far as the law allows, we don't give other promises about it. We're not liable for loss of profit, revenue, business, data or goodwill, or for any indirect loss. Our total liability to you in connection with BusyMoss is limited to the amount you paid us for your licence.

For everyone

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law doesn't allow us to limit.

12. Ending the agreement

You can stop using BusyMoss and ask us to delete your account at any time (see our privacy policy). Deleting your account switches off any licence on it, and isn't a refund outside the 14 days in section 6.

We can end the agreement if you seriously or repeatedly break these terms. If we end it for any other reason, we'll refund what you paid for your licence.

13. Changes and the law

We may update these terms, for example when we add a feature or the law changes. We'll email you about changes that matter before they take effect. The terms in force when you bought a licence continue to apply to what that licence covers.

These terms are governed by the law of England and Wales, and the courts of England and Wales can hear disputes. If you're a consumer living in Scotland or Northern Ireland, you can also bring proceedings in your local courts.

If you have a problem, please contact us first. Most things can be sorted out quickly.
